Do I need Thai shareholders before I can register my company? +
Yes — this is one of the most important things to have in place before we can begin registration. Thai law requires that at least 51% of shares in a Thai Limited Company are held by Thai nationals. You as the foreign entrepreneur may hold a maximum of 49%.

Your Thai shareholders must be real, named individuals who are willing to participate in the company structure. You must have them identified and ready to sign before the registration process begins.

We strongly recommend formalising the shareholder relationship with a written agreement that clearly protects your interests as the foreign founder. We can assist you with drafting this as part of the process. What we cannot do is help you set up a nominee arrangement — this is illegal under Thai law and carries serious legal risk.

Can foreigners own 100% of a Thai company? +
In most cases, Thai law requires that at least 51% of shares in a Thai Limited Company must be held by Thai nationals, leaving a maximum of 49% for foreign shareholders. This means you must have your Thai shareholders identified and confirmed before company registration can begin — this is a legal prerequisite, not a formality.

It is critical that your Thai shareholders are trustworthy individuals with a clear written agreement in place. We strongly advise against nominee arrangements, which are illegal under Thai law.

There are pathways to greater foreign control in certain circumstances — including BOI promotion (which can allow 100% foreign ownership for qualifying businesses), the US-Thailand Treaty of Amity (for US citizens), or specific structures under the Foreign Business Act. Do I need a work permit even if I own the company? +
Yes. Even if you are a director and shareholder of your own Thai company, you are legally required to hold a valid work permit to perform any work in Thailand. Operating without one carries significant legal risks. We handle the work permit application as part of the kit.
How long does the full registration process take? +
Company registration with the DBD typically takes 7–14 business days. Business licences vary by type — standard licences 2–4 weeks, sector-specific or FBL applications can take longer. Work permit processing is usually 5–10 business days. We handle everything in parallel where possible to minimise your total timeline.
What type of business can I legally operate as a foreigner? +
Thailand’s Foreign Business Act restricts certain activities for foreigners. Many service businesses, online businesses, and export-oriented operations are straightforward. Retail, hospitality, real estate, and some professional services have additional requirements. We review your specific business model in the consultation and confirm exactly what’s permissible and how to structure it.
Do I need to be in Hua Hin for the whole process? +
Much of the preparation can be handled remotely. You will need to be physically present in Thailand for the work permit application and for signing certain company documents. We’ll map out precisely when your presence is required so you can plan accordingly — we keep your time commitment to a minimum.
What ongoing legal obligations will my company have? +
Thai companies have annual obligations including: annual general meeting, financial statement preparation and audit (for companies above a threshold), corporate income tax filing, VAT returns (monthly/quarterly), social security contributions, and work permit renewals.
