Sound Familiar?
Starting a Business in Thailand as a Foreigner Is Full of Legal Landmines
The excitement of launching in Thailand can quickly turn into months of confusion, delays, and costly mistakes — unless you have the right legal foundation from day one.
- No idea which company structure is right for you — Thai Limited Company, BOI, sole trader, or branch office
- Confused about the Foreign Business Act and which activities require a Foreign Business Licence
- Work permit and visa paperwork that’s impossible to navigate alone — in Thai, across multiple government offices
- Contracts and agreements drafted without legal review — leaving you exposed to disputes and liability
- No compliance roadmap — VAT registration, social security, annual filings, and reporting deadlines missed
You have a great business idea. You shouldn’t have to spend months on legal admin to get it off the ground.
That’s Why We Created the Entrepreneurs Startup Legal Kit
We’ve helped foreign entrepreneurs across Hua Hin get their businesses registered, compliant, and running — fast. This kit covers every legal requirement for launching in Thailand, handled entirely by our team. In English, German, or French. From registration to your first day of trading.
What’s Included
Every Legal Step to Launch — Completely Handled
Four core services that take you from idea to fully operational business, with no gaps in your legal foundation.
Company Registration
We handle the full Thai Limited Company (Co., Ltd.) formation process — memorandum of association, shareholder structure, registered address, statutory meetings, and filing with the Department of Business Development. You receive a complete set of company documents ready for banking and operations.
⚠ Important: Thai law requires that at least 51% of shares in a Thai Limited Company are held by Thai nationals. You must have your Thai shareholders identified and in place before registration can proceed. We can advise you on how to structure this correctly and what to look for in a trustworthy shareholder arrangement.
Valued at 18,000 THBBusiness Licence
We identify which licences your specific business requires — whether a standard business registration, a Foreign Business Licence (FBL), sector-specific permits (food, tourism, hospitality, services), or BOI promotion. We prepare and submit all applications on your behalf.
Valued at 12,000 THBVisa & Work Permit Setup
We prepare your Non-Immigrant B visa application and your work permit — coordinating documentation between the Ministry of Labour and Immigration, handling the Thai employee-to-foreigner ratio requirements, and accompanying you to the relevant offices. Stay legally in Thailand and legally employed in your own business.
Valued at 14,000 THBInitial Legal Compliance Kit
A complete compliance starter pack: VAT registration (if applicable), social security registration, statutory bookkeeping setup guidance, a compliance calendar with all key deadlines, and an overview of your ongoing legal obligations as a Thai company director.

Questions & Answers
Common Questions
Your Thai shareholders must be real, named individuals who are willing to participate in the company structure. You must have them identified and ready to sign before the registration process begins.
We strongly recommend formalising the shareholder relationship with a written agreement that clearly protects your interests as the foreign founder. We can assist you with drafting this as part of the process. What we cannot do is help you set up a nominee arrangement — this is illegal under Thai law and carries serious legal risk.
If you don’t yet have Thai shareholders in place, raise this in your free consultation and we will guide you on how to approach it correctly.
It is critical that your Thai shareholders are trustworthy individuals with a clear written agreement in place. We strongly advise against nominee arrangements, which are illegal under Thai law.
There are pathways to greater foreign control in certain circumstances — including BOI promotion (which can allow 100% foreign ownership for qualifying businesses), the US-Thailand Treaty of Amity (for US citizens), or specific structures under the Foreign Business Act. We assess your situation in the free consultation and advise the most appropriate structure for your business.
